COMPANY DOSSIER


The document that collects the main information and the legal deeds of the company



The Dossier contains the information on the Company Profile (articles of association/shareholders' agreements in force, last financial statement filed, list of case files filed but not yet registered, parent company, holdings in other companies), the latest financial statement filed, the articles of association and other information.

More specifically, the Dossier of a stock company and an associated company contains the following blocks of information:

Corporation

 

  • Statutory information, Statutory published
  • Capital and financial instruments
  • Annual accounts
  • Headquarters and local branches
  • Dissolution, insolvency proceedings, cancellations
  • Directors
  • Holders of other appointments or qualifications
  • Statutory auditors, supervisory authorities members
  • Shareholders and holders of rights over shares (i.e. List of partners, Report on Ownership aspects or Company File)
  • Shareholdings in other companies (i.e. Partner file)
  • Parent companies/authorities (i.e. Report on company subject to the management and co-ordination of others)
  • Company transfers, mergers, divisions and successions
  • Shares transfer history (only for s.r.l. - limited liability companies)
  • Activities, registers and  rolls
  • Processing dossiers (i.e. Protocol or filing report)
Partnership

 

  • Information included in the articles of association
  • Balance sheet accounts
  • Headquarters and local branches
  • Dissolution, insolvency proceedings, cancellations
  • Shareholders and holders of appointments or qualifications
  • Shareholdings in other companies (i.e. Partner file)
  • Parent companies/authorities (i.e. Report on company subject to the management and co-ordination of others)
  • Company transfers, mergers, divisions and successions
  • Activities, registers and  rolls
  • Processing dossiers (i.e. Protocol or filing report)

 



The Historical company dossier contains, as well as the set of information foreseen for the dossier, a history of the modifications and, in the case of limited liability companies, a history of the transfer of shares (if there is one).

More specifically, the Company History of a Joint Stock Company/Corporation or a Partnership is a complete document containing all the most important Chamber of Commerce information, such as:

  • the Historical Company Profile
  • the last Ordinary Annual Accounts (for Joint stock companies/Corporations)
  • the Articles of Association filed (for Partnerships)
  • the Statute filed (for Joint stock companies/Corporations)
  • the Parent companies
  • the Shareholdings in other companies
  • the Processing dossiers
